Adani Energy Solutions buys Satara Power Transmission from PFC Arm

Mumbai, Oct 8(UNI) Adani Energy Solutions Ltd, which emerged as the successful bidder, purchased a special purpose vehicle (SPV) called Satara Power Transmission Ltd (SPTL) from PFC Consulting, which is owned by state-owned Power Finance Corporation (PFC) for approximately Rs 19.01 crore, according to a stock exchange filing.
Adani Energy Solutions Ltd paid PFC Consulting Rs 19,01,24,505 (approximately Rs 19.01 crore), as per the Share Purchase Agreement (SPA) cited in the stock exchange filing.
The company acquired 100 percent of SPTL’s equity in a cash deal, at a face value of Rs 10 per share.
Adani Energy Solutions Ltd stated that the transaction is not a related-party deal and its promoter group or other group companies have no interest in SPTL.
Hence, no regulatory or government approvals were required.
Satara Power Transmission Ltd (SPTL), which was set up to facilitate an additional 765 kV inter-regional corridor, will enable further evacuation of renewable electricity in Karnataka towards load centres and pumped storage projects in the Satara, Pune and the Mumbai Metropolitan Region (MMR).
Adani Energy Solutions Ltd informed the stock exchange that it has identified Maharashtra as one of the states that would become more active in transmission development, particularly as renewable electricity generation and urban demand require stronger inter-state and inter-regional links.
Adani Energy Solutions Ltd stated that the acquisition of Satara Power Transmission Ltd (SPTL) is aimed at the pursuit of organic and inorganic opportunities to create shareholder value.
According to Adani Energy Solutions Ltd, the acquisition of Satara Power Transmission Ltd (SPTL) would add to a significant transmission construction pipeline linked to India's renewable energy buildout.
In its June 2026 quarterly presentation, Adani Energy Solutions Ltd reported an under-construction transmission order book of Rs 71,779 crore, comprising 13 projects with a locked-in tariff or billing capacity of Rs 9,510 crore.
The company's operated transmission network stood at 27,949 circuit kilometers, with availability at 99.63 percent.
Adani Energy Solutions Ltd maintained that the purchase of Satara Power Transmission Ltd (SPTL) is consistent with its expectation that transmission opportunities will emerge rapidly at the state level, alongside central grid projects.
Adani Energy Solutions Ltd’s transmission business remains the largest contributor to its operating income, while new smart-metering and energy-solutions businesses are also being expanded.
In the June 2026 quarter, Adani Energy Solutions Ltd reported net sales of Rs 9,711.08 crore, a growth of 42.41 per cent year-on-year, while profit after tax increased 137.58 per cent to Rs 1,285.13 crore.
