Pentacle Consultants Plans Fresh Issue Of Up To Rs 106 Crore Files DRHP With SEBI

Mumbai, Sept 30 (UNI) Mumbai based Pentacle Consultants India Limited has filed a Draft Red Herring Prospectus with the Securities and Exchange Board of India to raise funds through an initial public offering that will include a fresh issue of shares worth up to Rs 106.69 crore and an offer for sale by promoter Pallavi Mahendra More.
According to the draft documents filed with SEBI, the IPO comprises equity shares with a face value of Rs 10 each. Apart from the fresh issue, the offer will include an offer for sale of up to 21,25,000 equity shares by promoter Pallavi Mahendra More.
Of the proceeds from the fresh issue, the company proposes to utilise Rs 22.16 crore towards cash payment for the proposed acquisition of Segmental Infrastructure Development Limited, also known as SIDL.
Another Rs 6.5 crore is proposed to be used for full or partial repayment or prepayment of certain outstanding borrowings of the company, while Rs 19.93 crore has been earmarked to meet additional working capital requirements.
The remaining proceeds are proposed to be deployed towards inorganic growth through unidentified acquisitions, general corporate purposes and expenses related to the offer.
The IPO will be conducted through the book building process. Under the proposed allocation structure, not more than 50 percent of the net offer will be available for allocation to qualified institutional buyers. At least 15 percent of the net offer will be reserved for non institutional bidders, while a minimum of 35 percent will be available for retail individual bidders.
Established in 2006, Pentacle Consultants India Limited operates in the global infrastructure consulting and engineering advisory sector. The Mumbai based company provides design engineering, project management consultancy and specialised advisory services across India as well as international markets.

Tata Sons shareholder Sir Dorabji Trust to file caveat with Maha Charity Commissioner

Mumbai, Sep 30 (UNI) The Sir Dorabji Tata Trust (SDTT), which is one among the Tata Trusts headed by Chairman Noel Tata, is in the process of filing a caveat with the Charity Commissioner of Maharashtra’s office after a complaint by trustee Venu Srinivasan, sources said.
The development comes after trustee Venu Srinivasan filed a complaint with the Charity Commissioner on Tuesday, alleging “illegal and irregular appointment of perpetual trustees and serious governance lapses” at the Sir Dorabji Tata Trust (SDTT).
