SEBI settles Hindenburg-related proceedings against 5 Adani Group firms for Rs 1.51 crore

Mumbai, Sep 22 ( UNI) The Securities and Exchange Board of India (SEBI) issued an order here today that it has settled all adjudication proceedings against five Adani Group companies for a one-time total payment of Rs 1.51 crore in a matter involving allegations of related-party transaction (RPT) disclosures and corporate governance issues, which were highlighted in the Hindenburg Report.
Under the terms of the settlement, Adani Enterprises paid Rs 76.05 lakh, while Adani Green Energy paid Rs 45.50 lakh, Adani Total Gas, AWL Agri Business and Adani Energy Solutions paid Rs 9.75 lakh each. The total amount paid by all the five Adani Group firms is Rs 1.51 crore.
The proceedings were initiated against these companies as per SEBI’s examination into allegations raised in the Hindenburg Report and possible violations of the SEBI Listing Obligations and Disclosure Requirements (LODR) Regulations, besides other applicable provisions.
According to the SEBI settlement order, the proceedings covered multiple alleged violations relating to non-disclosure of certain related-party transactions in its annual report, as well as audit and limited-review reports being signed by audit firms without valid Peer Review Certificates.
The five Adani Group companies proposed to settle the proceedings without admitting or denying the findings of fact or conclusions of law, according to the SEBI order.
After the settlement terms were accepted by all the five Adani Group companies and the total amount of Rs 1.51 crore was paid, SEBI disposed off the adjudication proceedings, in its settlement order.
The SEBU order has mentioned that the settlement has been reached without prejudice to SEBI’s right to take enforcement action, including restoring or initiating proceedings, if representations made during the settlement process are found to be false later, if settlement conditions are breached or there is a discrepancy in arriving at the settlement terms.
