Tata Trusts hires Abhishek Manu Singhvi as legal battle with Tata Sons escalates

New Delhi, Sep 20 (UNI) Tata Trusts has brought senior advocate Abhishek Manu Singhvi on board for legal representation as its dispute with Tata Sons intensified following the reappointment of N Chandrasekaran as chairman.
Singhvi, who has represented several high-profile corporate and constitutional matters, said he was entering the case with “sadness and regret”, citing his association with the late Ratan Tata and his familiarity with key stakeholders on both sides of the dispute.
In a post on X, Singhvi argued that the rights of shareholders cannot be overridden, saying that weakening such rights could have wider implications for corporate governance in India.
"To stymie democratic intra-Trust decision-making by Tata Trusts by putting a sudden and completely unwarranted fetter on even their convening for a meeting is another matter of patent legality. Rupturing the over hundred years of Tata Trust and Tata Sons established hyphenated relationship and divorcing one from the other seems unthinkable. Ignoring the unvarying precondition of Trust unanimity in voting & the clear veto in provisions applied without cavil for decades appears patently unjustified."
Singhvi also cited a previous Supreme Court judgement in the Tata-Mistry case, where he said the top court "clearly gave Tata Trusts the primacy" in its relationship with Tata Sons.
"Sadly, the Supreme Court judgement in Tata-Mistry which clearly gave Tata Trusts primacy in the relationship with Tata Sons, upheld the special Articles in this regard in the Tata Sons articles and spoke of the fiduciary duty to millions of Indians, seems to have been selectively forgotten. Unfortunately, in the absence of collegiality and conviviality, these and many other related issues can only have legal solutions," he added.
The legal escalation follows the Tata Sons board's September 17 approval of a fresh five-year term for Chandrasekaran.
According to Tata Sons, Chandrasekaran agreed to reconsider his earlier decision not to seek another term after the board's nomination and remuneration committee asked him to continue.
However, Tata Trusts chairman Noel Tata opposed the reappointment. The Trusts, which collectively holds about 66 per cent of Tata Sons, subsequently rejected the board resolution and described it as a “legal nullity”. The Trusts maintain that Chandrasekaran's earlier decision to step down at the end of his current term had already attained finality.

The disagreement has also brought the governance provisions of Tata Sons into focus. Tata Trusts has maintained that the decision required compliance with the company's Articles of Association, while the board proceeded with the reappointment through a majority vote. The issue could now move into a legal and corporate-governance dispute.

New Delhi, Sep 19 (UNI) The Centre has issued detailed operational guidelines for its Rs 23,731-crore GOBARdhan scheme, laying down mechanisms for assured purchase of compressed biogas (CBG), administered pricing, capital assistance, pipeline connectivity and credit guarantees in a major push to expand India's waste-to-energy sector.
The National Circular Bioenergy Scheme, approved by the union Cabinet on August 6, will run from 2026-27 to 2035-36 and seeks to increase domestic CBG production nearly ten-fold.
