Tata Sons board approves IPO, reappoints Chandrasekaran chairman for five more years

Mumbai, Sep 17 (UNI) A Tata Sons board meeting on Thursday officially approved the process to list the holding company on the stock exchange through an initial pubic offering (IPO) and reappointed N Chandrasekaran as its executive chairman for another five years.
Chandrasekaran has served as Tata Sons Executive Chairman since 2017 and was previously reappointed for a second five-year term, until he decided to step down after his present term ends on February 20, 2027, after he failed to get the support of Tata Trusts Chairman Noel Tata.
Chandrasekaran has always been in favour of listing Tata Sons on the stock exchange, which was opposed by Tata Trusts Chairman Noel Tata.
However, after Thursday’s decision by the Tata Sons board, it is clear that Chandrasekaran will continue to be Tata Sons Executive Chairman for another five years, until February 20, 2032.
The Tata Sons board meeting’s agenda included an update from the nomination and remuneration committee and the RBI’s decision rejecting Tata Sons’ request to surrender its Core Investment Company (CIC) registration.
Meanwhile, it is learnt that Tata Trusts Chairman Noel Tata is likely to stick to his position that the RBI’s legal moves to get Tata Sons to list on the stock exchange through an initial public offering (IPO) must be countered legally, and he has already roped in legal firm Cyril Amarchand Mangaldas (CAM) to explore all legal options.
According to sources, Noel Tata believes that there is still room for renegotiating with the RBI before initiating any legal action, in order to avoid listing Tata Sons on the stock exchange and preserve its privately held company status.
If Tata Sons lists on the stock exchange, the Tata family may no longer control Tata Sons through the 66% majority stake which Tata Trusts presently owns in Tata Sons, sources said.
After Tata Sons becomes a stock exchange listed company, Tata Trusts will no longer have the overwhelming control over the affairs of the holding company Tata Sons, sources said.
Besides, Tata Sons will no longer have to release its dividends to finance the philanthropic activities of Tata Trusts.
Consequently, a stock exchange listed Tata Sons would have the final say on how much dividend should be given to Tata Trusts and how much capital must be invested in new ventures and businesses within the Tata group.
If Tata Sons becomes a stock exchange listed company, the biggest beneficiary would be the Shapoorji Pallonji (SP) Group, which is the largest minority stake holder in Tata Sons, holding a 18.37% stake.
The Shapoorji Pallonji (SP) Group would be able to sell its 18.37% minority stake in Tata Sons at a premium, by taking advantage of the initial public offering (IPO) and get to exit Tata Sons, sources said.
