Tata Sons rejects Noel Tata’s objections against Chandrasekaran’s reappointment

Mumbai, Sep 24 (UNI) Tata Sons wrote a letter to Tata Trusts Chairman Noel Tata here on Thursday, rejecting objections raised by him against the reappointment of N Chandrasekaran as Tata Sons Chairman.
The letter dated September 24, was signed by Tata Sons company secretary Suprakash Mukhopadhyay.
The Tata Sons letter stated that the Tata Sons board had approved Chandrasekaran’s reappointment by a majority vote and that the special procedure under its Articles of Association (AoA) which was cited by Tata Trusts Chairman Noel Tata did not apply to the reappointment of N Chandrasekaran as Tata Sons Chairman.
“The board, by a majority resolution, has validly resolved to reappoint Mr N Chandrasekaran as the chairman upon the expiry of his existing tenure” in accordance with applicable law and the company’s AoA, Tata Sons stated.
The Tata Sons letter stated that it had acted after taking legal advice in interpreting the AoA, reiterating that Chandrasekaran’s reappointment at Tata Sons Chairman remains valid.
The Tata Sons letter’s reference was to Article 118 of the Articles of Association (AoA), which sets out a special process to select a new Tata Sons chairman, since Tata Trusts headed by its Chairman Noel Tata collectively own at least 40% of the company’s paid-up ordinary share capital.
According to Article 118 of the Articles of Association (AoA), a selection committee comprising nominees of the Sir Dorabji Tata Trust and Sir Ratan Tata Trust, along with other members specified in the Article 118, selects a candidate to be appointed as Tata Sons chairman.
Later, the Tata Sons board appoints the candidate recommended by the committee.
Article 118 of the Articles of Association (AoA) also stipulates that the same process must be followed for removal of any incumbent chairman.
However, the Tata Sons letter stated that Article 118 of the Articles of Association (AoA) does not cover the reappointment of Chandrasekaran.
“The procedure under Article 118 of the AoA relates to the first appointment of a new chairman and not a reappointment of an existing Chairman,” it states, adding that the Tata Sons board has taken legal advice regarding the interpretation of Article 118 of the Articles of Association (AoA).
