Centre extends financial statement filing deadline for companies to December 31

New Delhi, Oct 25 (UNI) The Ministry of Corporate Affairs (MCA) has granted companies additional time to complete their annual statutory filings for the financial year 2025-26, extending the deadline for financial statements to December 31, 2026, and that for annual returns to January 31, 2027.
The relief allows companies to submit the required documents without paying additional fees, following complaints from stakeholders about technical difficulties on the ministry’s MCA 21 online filing portal. The extension is intended to help businesses complete their compliance requirements amid the portal-related challenges.
In a circular issued on October 24, the ministry said the revised timelines would apply to specified electronic forms used for filing financial statements and annual returns. The earlier deadlines were October 31, 2026, for financial statements and November 30, 2026, for annual returns.
For financial statements, companies can now file forms AOC-4, AOC-4 (CFS), AOC-4 (XBRL), AOC-4 NBFC (Ind AS) and AOC-4 CFS NBFC (Ind AS) for FY26 until December 31, 2026. Annual returns submitted through forms MGT-7 and MGT-7A will be accepted until January 31, 2027.
Under the standard compliance framework, companies are generally required to file their financial statements within 30 days of their Annual General Meetings (AGMs). Annual returns must ordinarily be submitted within 60 days of the meetings.
However, the MCA has clarified that the additional time for filing documents does not change the statutory deadlines for holding AGMs under the Companies Act. Companies that have failed to convene their meetings within the prescribed period will continue to be liable for non-compliance under the applicable provisions of the law.
The Institute of Company Secretaries of India (ICSI) has welcomed the decision, saying the extension would give companies and compliance professionals more time to adjust to the technical transition to the MCA 21 V3 portal. In a statement issued on Sunday, the institute said the move reflected the ministry’s focus on addressing stakeholder concerns and improving the ease of doing business.
The MCA is responsible for implementing the Companies Act, which requires companies to submit their statutory filings electronically through the MCA 21 portal.
